CNY Yoga Connection provides an online platform that helps students discover yoga teachers, classes, workshops, events, retreats, and other yoga-related offerings.

The Platform also provides participating teachers with tools to create profiles, publish schedules, list offerings at multiple locations, accept online bookings and payments, and connect with students.

Unless specifically stated otherwise, CNY Yoga Connection is not the provider of the yoga classes, instruction, workshops, events, retreats, or other services listed by independent teachers through the Platform.

Teachers are responsible for the services they offer and for the accuracy of information associated with those services.

2. Eligibility

You must be at least 18 years old to create a teacher account, enter into a teacher subscription, or independently make purchases through the Platform.

By creating an account or using the Platform, you represent that the information you provide is accurate and that you have the legal capacity to enter into these Terms.

Terms for Students

3. Finding and Following Teachers

Students may use CNY Yoga Connection to discover teachers and view their profiles, schedules, locations, classes, workshops, events, and other offerings.

Where available, students may follow teachers to make it easier to stay informed about their upcoming offerings.

Following a teacher does not guarantee that a particular class, location, schedule, price, or event will remain available.

4. Class and Event Information

Teachers are responsible for maintaining information about their offerings, including:

• Dates and times
• Locations
• Class descriptions
• Pricing
• Availability
• Capacity
• Instructor information
• Cancellation requirements
• Other applicable restrictions or requirements

CNY Yoga Connection strives to present the information supplied through the Platform accurately but cannot guarantee that every listing will always be complete, current, or error-free.

Students should review the details of an offering before completing a booking.

5. Bookings and Payments

Certain classes, workshops, events, and other offerings may be booked and paid for through CNY Yoga Connection.

By completing a paid booking, the student authorizes the applicable charge displayed during checkout.

Payments may be processed by third-party payment service providers. CNY Yoga Connection does not store complete payment card information when payment information is handled directly by the applicable payment processor.

Prices displayed on the Platform are in U.S. dollars unless otherwise indicated.

6. Cancellations, Refunds, and No-Shows

Cancellation and refund policies may vary depending on the teacher, class, workshop, event, or other offering. The standard cancellation policy is 24 hours and there will be no refunds unless specified otherwise by the teacher.

The applicable cancellation or refund terms should be reviewed before completing a booking.

If a teacher cancels an offering for which a student has paid through CNY Yoga Connection, the student may be eligible for a refund according to the applicable cancellation policy and payment-processing arrangements.

Students who fail to attend a booked offering may not be entitled to a refund.

Where applicable law requires a different refund or cancellation result, applicable law will control.

Terms for Teachers

7. Teacher Accounts

Teachers may apply to create an account with CNY Yoga Connection.

CNY Yoga Connection may review teacher registrations before activating an account and reserves the right to approve, decline, suspend, or terminate teacher accounts where reasonably necessary to protect the Platform, students, other teachers, or CNY Yoga Connection.

Teachers are responsible for maintaining accurate account information and safeguarding account credentials.

Teachers must promptly notify CNY Yoga Connection of suspected unauthorized access to their accounts.

8. Teacher Profiles and Listings

Teachers are responsible for ensuring that information published through their accounts is accurate and current.

This includes:

• Teacher biographies
• Qualifications and credentials
• Photographs
• Class descriptions
• Schedules
• Locations
• Pricing
• Capacity
• Cancellation policies
• Workshops and events
• Contact information

Teachers must have the necessary rights and permissions to publish any photographs, logos, written content, or other materials uploaded to the Platform.

9. Teacher Responsibilities

Teachers are independent providers responsible for their own instruction and offerings.

Teachers are responsible for:

• Maintaining any qualifications or credentials required for their activities
• Determining whether insurance is appropriate or required
• Maintaining appropriate liability insurance where applicable
• Obtaining permissions required by studios, venues, property owners, or other parties
• Complying with applicable laws and regulations
• Providing services professionally and safely
• Determining whether a particular participant can safely participate in a class or activity
• Maintaining accurate schedules, prices, locations, and descriptions
• Handling appropriate participant communications

CNY Yoga Connection does not supervise or control how individual teachers conduct yoga instruction.

Teacher Plans and Fees

10. Teacher Membership

CNY Yoga Connection may offer teacher membership plans with recurring monthly fees and online booking fees.

The price, features, online booking fee, billing frequency, and other material terms applicable to a teacher’s plan will be presented before the teacher agrees to the subscription.

Teacher subscriptions automatically renew each month until canceled.

Teachers will be provided with a method to cancel an automatically renewing subscription in accordance with applicable law.

11. Founding Teacher Offer

Eligible teachers who join CNY Yoga Connection during the Founding Teacher promotional period may receive:

• A $0 monthly membership fee for their first 90 days
• The applicable online booking fee
• Access to Teacher plan features
• A permanent Founding Teacher Badge
• Temporary access to certain promotional or Pro-level benefits

Unless otherwise stated when registering, the 90-day promotional period begins when the teacher account is approved and activated.

After the promotional period, the Founding Teacher membership will transition to the standard Teacher membership at the price and online booking fee disclosed and accepted at registration.

Any temporary Pro-level promotional benefits included with the Founding Teacher offer expire at the conclusion of the promotional period unless otherwise stated.

The Founding Teacher Badge remains associated with eligible Founding Teacher profiles after the promotional period, subject to continued compliance with these Terms.

12. Teacher Plan

The Teacher Plan is currently intended to include features such as:

• Teacher profile
• Schedule management
• Multiple teaching locations
• Online booking
• Online payments
• Calendar integration
• Mobile access
• Biweekly payouts

The applicable monthly subscription price and online booking fee will be clearly disclosed before enrollment.

CNY Yoga Connection may modify features over time as the Platform develops.

13. Teacher Pro

CNY Yoga Connection may offer a Teacher Pro membership containing additional features.

Potential Pro functionality may include features such as:

• Homepage featured-class opportunities
• Discount codes
• Class packages and passes
• Automated student notifications
• Priority support
• Reduced online booking fees
• Additional tools introduced in the future

Features advertised as Coming Soon are not guaranteed to be available until specifically released.

Featured-class opportunities do not guarantee continuous or permanent homepage placement. Featured listings may rotate and depend upon availability, suitability, Platform capacity, and other reasonable considerations.

14. Automatic Renewal and Cancellation

Paid monthly teacher memberships automatically renew at the applicable monthly rate unless canceled.

Teachers may cancel in accordance with the cancellation method made available through CNY Yoga Connection.

Cancellation prevents future subscription renewals but does not ordinarily reverse charges already properly incurred before cancellation unless otherwise required by law or expressly provided by CNY Yoga Connection.

CNY Yoga Connection will clearly communicate material subscription terms and changes as required by applicable law.

Payment Processing and Teacher Payouts

15. Online Booking Fees

When a student books and pays for an offering through CNY Yoga Connection, the applicable online booking fee will be deducted according to the teacher’s membership plan.

Online booking fees help support payment processing, secure booking functionality, payment administration, payouts, and operation of the Platform.

Booking fees may differ by membership plan.

16. Payment Processing

Payments may be processed using third-party payment-processing services.

Teachers may be required to establish or maintain a connected payment account and provide identity, tax, banking, or other information required by the payment processor.

Use of third-party payment services may also be subject to the payment processor’s terms and policies.

17. Teacher Payouts

Eligible teacher revenue collected through CNY Yoga Connection is generally scheduled for payout twice per month, subject to payment settlement, account verification, banking schedules, payment-processor requirements, refunds, disputes, chargebacks, holds, and other applicable adjustments.

CNY Yoga Connection cannot guarantee that funds will arrive in a teacher’s bank account on a particular date when circumstances outside CNY Yoga Connection’s control affect payment processing or banking timelines.

18. Refunds, Disputes, and Chargebacks

Refunds, disputed payments, chargebacks, payment reversals, and similar adjustments may be deducted from amounts otherwise payable to a teacher where appropriate.

Teachers agree to reasonably cooperate with CNY Yoga Connection and its payment providers when information is required to respond to payment disputes.

Platform Rules

19. Acceptable Use

Users may not use CNY Yoga Connection to:

• Provide false or misleading information
• Impersonate another person or organization
• Publish content without appropriate rights or permission
• Harass or threaten others
• Interfere with Platform operation or security
• Attempt unauthorized access to accounts, systems, or data
• Distribute malicious software
• Use the Platform for unlawful purposes
• Misrepresent qualifications, pricing, locations, or services
• Engage in fraudulent bookings or payment activity

CNY Yoga Connection may remove content or restrict access where reasonably necessary to protect users or the Platform.

20. Intellectual Property

The CNY Yoga Connection name, branding, website design, Platform functionality, original text, graphics, and other CNY Yoga Connection materials are owned by or licensed to CNY Yoga Connection and may not be copied, reproduced, or commercially exploited without authorization.

Teachers retain ownership of original materials they submit to the Platform.

By uploading content, teachers grant CNY Yoga Connection a non-exclusive license to display, reproduce, format, and use that content as reasonably necessary to operate and promote the Platform and the teacher’s listed offerings.

21. Health and Physical Activity Notice

Yoga and other physical activities involve inherent risks.

Students are responsible for deciding whether participation is appropriate based on their individual circumstances.

Information provided through CNY Yoga Connection is for general informational and booking purposes and is not medical advice.

Students with questions or concerns regarding their ability to safely participate in physical activity should consult an appropriate qualified healthcare professional before participating.

22. Independent Teacher Relationship

Teachers listing services through CNY Yoga Connection are independent providers and are not employees of CNY Yoga Connection solely by virtue of using the Platform.

Nothing in these Terms creates an employment, partnership, agency, or joint-venture relationship between a teacher and CNY Yoga Connection unless expressly agreed otherwise in writing.

Teachers control their own teaching services, subject to these Terms and applicable law.

23. Third-Party Locations and Services

Classes and events may take place at studios, parks, private facilities, retreat locations, or other venues that CNY Yoga Connection does not own or control.

CNY Yoga Connection is not responsible for the operation, accessibility, condition, policies, or availability of independently operated third-party locations.

The Platform may also contain links to third-party websites or services. CNY Yoga Connection is not responsible for third-party content, availability, or practices.

24. Platform Availability

CNY Yoga Connection aims to maintain reliable Platform availability but does not guarantee uninterrupted or error-free operation.

Access may occasionally be interrupted for maintenance, upgrades, technical problems, security concerns, or circumstances outside CNY Yoga Connection’s reasonable control.

25. Account Suspension or Termination

CNY Yoga Connection may suspend or terminate an account where reasonably necessary because of:

• Fraudulent activity
• Abuse of students, teachers, or the Platform
• Payment issues
• Misrepresentation
• Security concerns
• Unlawful conduct

Where appropriate, CNY Yoga Connection may provide notice or an opportunity to resolve an issue before termination.

Users may stop using the Platform at any time, subject to outstanding payment obligations and applicable subscription cancellation terms.

26. Disclaimer of Warranties

To the fullest extent permitted by applicable law, CNY Yoga Connection provides the Platform on an “as available” basis.

CNY Yoga Connection does not guarantee that every teacher, class, event, location, description, schedule, or other third-party offering will meet a user’s expectations or remain available.

Nothing in these Terms excludes warranties or protections that cannot legally be excluded.

27. Limitation of Liability

To the fullest extent permitted by applicable law, CNY Yoga Connection will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Platform or participation in independently provided classes, events, or activities.

Nothing in these Terms limits liability where limitation is prohibited by applicable law.
